SPARQ TT – Service Request Authorization & Consent

By submitting a service request, emergency request, membership-related request, WhatsApp request, telephone request, or website request to SPARQ TT, you confirm that you have read, understood, and agreed to this Service Request Authorization and Consent.

1. Authorization to Coordinate Assistance

You authorize SPARQ TT, to receive your request, review the information provided, communicate with you, and coordinate the dispatch of an independent roadside service provider on your behalf.

2. Accuracy of Information

You confirm that all information submitted by you, including your name, contact details, location, vehicle information, registration number, issue description, and membership status, is true, accurate, complete, and not misleading.

3. Charges Outside Membership Coverage

You acknowledge and agree that your membership may only cover selected services and limited benefits. Any cost, fee, distance charge, recovery charge, fuel cost, additional labour, special equipment, accident-related service, or service outside your membership coverage shall be your responsibility.

4. Outstanding Balances

You agree to settle all outstanding amounts, additional charges, and uncovered service fees before, during, or immediately upon completion of the service, as required by SPARQ TT or the assigned provider.

5. Platform Role

You acknowledge that SPARQ TT acts solely as a roadside assistance coordination and dispatch platform. SPARQ TT does not represent that it directly owns, operates, manages, or controls the independent providers dispatched through the platform.

6. Independent Providers

Providers are independent contractors and are not employees, agents, partners, or direct representatives of SPARQ TT unless expressly stated in writing.

7. Vehicle Condition

SPARQ TT shall not be responsible for pre-existing mechanical, electrical, structural, cosmetic, or operational conditions affecting your vehicle before assistance is requested or rendered.

8. Consent to Communication and Documentation

By requesting assistance, you consent to:

  • Sharing your location for service coordination purposes.
  • Being contacted by phone, email, SMS, or WhatsApp.
  • SPARQ TT recording service details for verification, operational, administrative, and dispute-resolution purposes.
  • Reasonable documentation of the service, including notes, photos, provider updates, and completion proof where applicable.

9. Refusal or Cancellation of Service

SPARQ TT reserves the right to refuse, suspend, or cancel service where information is incomplete, false, unsafe, abusive, fraudulent, unpaid, outside coverage, or where the service cannot reasonably or safely be performed.

SPARQ TT – Privacy Policy

This Privacy Policy explains how SPARQ TT collects, uses, stores, protects, and shares personal information when customers, members, providers, or website visitors use SPARQ TT services.

1. Data Collection

The Company may collect information including, but not limited to:

  • Full name
  • Phone number
  • Email address
  • Vehicle make, model, and registration number
  • Location details and roadside assistance location
  • Membership plan information
  • Service request history
  • Provider application details, where applicable
  • Uploaded documents, where required for verification

2. Purpose of Data Use

Personal information may be used to:

  • Facilitate roadside assistance coordination.
  • Contact customers, members, or providers.
  • Verify membership coverage and service eligibility.
  • Assign suitable providers based on location and service need.
  • Improve service operations, safety, customer support, and platform performance.
  • Maintain administrative records and resolve disputes.

3. Data Sharing

Information may be shared with independent providers strictly where necessary to execute, verify, or complete a service request. The Company does not sell personal data to third parties for marketing purposes.

4. Data Security

The Company will take reasonable administrative, technical, and operational measures to protect personal information. However, no website, database, communication channel, or electronic system can be guaranteed as completely secure.

The Company shall not be liable for unauthorized access, cyber incidents, third-party system failures, or events beyond its reasonable control, provided reasonable safeguards were in place.

5. Consent

By using SPARQ TT services, submitting forms, requesting assistance, applying as a provider, or purchasing a membership, you consent to the collection, use, retention, and sharing of your data as described in this Privacy Policy.

6. Data Retention

Personal data will be retained only for as long as reasonably necessary for service delivery, legal compliance, accounting, administration, dispute handling, platform security, and business operations.

7. User Rights

Users may request:

  • Access to personal information held by the Company.
  • Correction of inaccurate or outdated personal information.
  • Clarification on how their information is used.

8. Governing Law

This Privacy Policy shall be governed by and interpreted in accordance with the laws of the Republic of Trinidad and Tobago.

9. Updates to this Policy

The Company reserves the right to amend, update, or replace this Privacy Policy at any time. Updated versions may be published on the website and shall take effect upon publication unless otherwise stated.

SPARQ TT – Non-Disclosure & Non-Circumvention Agreement

This Agreement applies to all providers, applicants, contractors, service partners, and any third party who receives access to SPARQ TT customers, systems, business processes, operational data, pricing, leads, documents, or confidential information.

1. Confidential Information

The Provider agrees not to disclose, copy, misuse, publish, transfer, sell, or share confidential information relating to SPARQ TT operations, customers, pricing, service workflows, internal systems, provider assignments, software, business strategy, service areas, or platform data.

2. Non-Circumvention

The Provider shall not directly or indirectly solicit, contact, service, invoice, contract with, or accept work from SPARQ TT customers outside the SPARQ TT platform or approved communication channels where such customer relationship was introduced, facilitated, or managed by SPARQ TT.

3. Customer Ownership

All customers, leads, inquiries, service requests, and member relationships introduced through SPARQ TT shall remain the business relationships and customers of SPARQ TT.

4. No Replication or Competitive Misuse

The Provider shall not replicate, reverse engineer, duplicate, compete using, or exploit SPARQ TT systems, customer lists, procedures, pricing models, service coordination workflows, or confidential data.

5. Survival of Obligations

The confidentiality and non-circumvention obligations shall survive termination, suspension, rejection, cancellation, or expiration of the provider relationship indefinitely, unless otherwise agreed in writing by the Company.

6. Breach and Remedies

Any breach of this Agreement may cause irreparable harm to the Company. The Company shall be entitled to seek injunctive relief, damages, costs, legal fees, account suspension, provider termination, and any other remedy available under applicable law.

SPARQ TT – Provider Agreement

1. Provider Status

The Provider operates as an independent contractor. Nothing in this Agreement shall be interpreted as creating an employment relationship, agency relationship, partnership, joint venture, or franchise arrangement between the Provider and the Company.

2. Provider Obligations

The Provider agrees to:

  • Deliver services professionally, safely, and within a reasonable time.
  • Maintain all required licenses, permits, approvals, tools, equipment, insurance, and roadworthy vehicles.
  • Comply with all applicable laws and regulations of Trinidad and Tobago.
  • Communicate accurately with SPARQ TT regarding job acceptance, arrival, completion, delay, cancellation, or issues.
  • Treat customers respectfully and avoid abusive, discriminatory, threatening, or unprofessional conduct.

3. Services Offered

The Provider may be assigned towing, jumpstart, tyre assistance, lockout assistance, fuel delivery, recovery, or other approved vehicle support services based on capability, location, availability, and approval by the Company.

4. Payment

Payment shall be made per job based on agreed rates, job type, provider category, or separate written arrangement. The Company may withhold, delay, reduce, or dispute payment where there is customer complaint, incomplete service, poor conduct, suspected fraud, missing proof, damage claim, or breach of this Agreement.

5. Provider Conduct

The Provider shall not:

  • Overcharge customers or demand unauthorized payments.
  • Misrepresent SPARQ TT, its pricing, membership rules, or service coverage.
  • Contact SPARQ TT customers outside approved processes for private work.
  • Engage in conduct that damages the reputation, safety, or trust of SPARQ TT.
  • Accept jobs that the Provider is not properly equipped or legally permitted to perform.

6. Customer Ownership

All customers sourced, referred, introduced, or serviced through SPARQ TT remain customers of the Company. The Provider shall not treat such customers as private customers outside the platform.

7. Documentation and Completion Proof

The Provider may be required to submit job updates, photographs, location confirmation, customer confirmation, completion notes, or other proof of service completion before payment is approved.

8. Termination

The Company may suspend or terminate the Provider without notice for breach, misconduct, fraud, repeated complaints, poor performance, safety concerns, customer circumvention, unauthorized charges, or any conduct considered harmful to the Company or its customers.

SPARQ TT – Terms and Conditions of Membership

1. Definitions

“Company” means SPARQ TT. “Member” means any individual who purchases or is assigned a SPARQ TT membership plan. “Services” means roadside assistance coordination facilitated by the Company. “Provider” means an independent third-party service provider assigned or contacted to perform roadside assistance.

2. Nature of Services

The Company operates as a coordination and dispatch platform connecting Members to independent Providers. The Company does not own, operate, or directly control all service vehicles and shall not be deemed a towing company, mechanical repair company, insurance provider, or emergency response authority.

3. Membership Plans

Road Essential TTD $200

One (1) Tow Assist and Two (2) Roadside Assists.

Road Care TTD $350

Two (2) Tow Assists and Two (2) Roadside Assists.

Road Freedom TTD $550

Three (3) Tow Assists and Three (3) Roadside Assists. Coverage applies to the registered Member on a driver-based basis.

4. Scope of Services

Tow Assist applies strictly to eligible vehicles that are disabled on public roadways and capable of standard towing procedures, unless otherwise approved by the Company.

Roadside Assist may include:

  • Battery jumpstart.
  • Tyre replacement or tyre change support, labour only.
  • Emergency fuel delivery, excluding the cost of fuel.
  • Vehicle lockout assistance, where safely and reasonably possible.

5. Exclusions

Membership does not automatically cover:

  • Motor vehicle accidents.
  • Off-road recovery, including vehicles in drains, embankments, mud, grass, beaches, construction areas, or inaccessible terrain.
  • Vehicles requiring specialised recovery equipment.
  • Commercial, overloaded, modified, unsafe, or illegally operated vehicles unless expressly approved.
  • Fuel cost, parts, tyres, batteries, keys, storage fees, repair costs, tolls, ferry charges, or third-party facility charges.

6. Accident and Recovery Services

Where accident or recovery services are facilitated, the Company may, at its sole discretion, contribute up to TTD $500 toward the service. Any remaining balance shall be the sole responsibility of the Member.

Payment for accident, recovery, specialised service, or uncovered balances must be made prior to or during service execution. Failure to settle outstanding amounts may result in service refusal, delay, suspension, or cancellation.

7. Fair Use and Abuse Prevention

Membership usage is limited strictly to the number and type of assists allocated under the applicable plan.

The Company reserves the right to investigate, restrict, suspend, or terminate usage in cases of:

  • Repeated or suspicious service requests.
  • Misrepresentation of breakdown conditions.
  • Sharing membership benefits with unauthorized persons.
  • Attempts to circumvent membership limits or provider assignment rules.
  • Fraud, abuse, threats, harassment, or non-payment.

The Company may suspend or terminate membership without refund in cases of abuse, fraud, or serious breach.

8. Payment Terms

  • All membership fees are non-refundable upon activation, unless otherwise required by law or expressly agreed in writing.
  • Additional charges, including distance, upgrades, accident recovery, special equipment, or uncovered service costs, must be paid by the Member.
  • Non-payment may result in service denial, account suspension, or refusal of further assistance.

9. Limitation of Liability

The Company shall not be liable for:

  • Delays caused by traffic, weather, road conditions, provider availability, public events, emergencies, police activity, or external factors.
  • Acts, omissions, negligence, damage, delay, or misconduct by independent Providers.
  • Pre-existing vehicle damage or mechanical conditions.
  • Loss of income, loss of use, missed appointments, consequential loss, or indirect damages.

Where liability is legally established, the Company’s total liability shall not exceed the value of the specific service facilitated.

10. Indemnity

The Member agrees to indemnify and hold harmless the Company, its officers, employees, contractors, providers, affiliates, and representatives from claims, damages, liabilities, losses, costs, or expenses arising from use of the Services, interaction with Providers, inaccurate information, misuse of the platform, non-payment, or breach of these Terms.

11. Termination

The Company reserves the right to suspend, restrict, or terminate membership at its sole discretion for breach of terms, fraudulent activity, abuse of services, provider or staff harassment, non-payment, safety concerns, or misuse of membership benefits.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago. Any dispute shall be subject to the applicable courts or dispute resolution mechanisms of Trinidad and Tobago.

13. Acceptance

By purchasing, activating, renewing, using, or requesting service under a SPARQ TT membership, the Member acknowledges that they have read, understood, accepted, and agreed to these Terms and Conditions.
